# Terms of Service & Privacy Policy

Every legacy we craft rests on trust. These terms explain how we work together, how your story is delivered and protected, and how we care for your personal information.

Reserving your date

Your date is reserved once your agreement is signed and your retainer is received. From that moment, it is yours alone. [Section 7](https://perfectionshoots.com/terms#s7)

Your retainer

Your retainer, typically half of your investment, holds your date and is non-refundable. Your balance is settled before your event, and weddings may spread it monthly. [Section 7](https://perfectionshoots.com/terms#s7)

If plans change

Section 01

## Introduction and Acceptance of Terms

Perfectionshoots is a visual legacy studio. These Terms of Service and Website Terms of Use (together, the “Terms”) describe how we work with the people we serve, how your story is delivered and protected, and how you may use our website, hosted galleries and digital services. Together with our photography, cinematic film and event services, these are the “Services.”

By using the website or booking any Service, you confirm that you have read these Terms and agree to them. If you do not agree, please do not use the website or book our Services.

These Terms apply to every visitor, client and anyone else who uses the website or Services (“Users”). The signed agreement for your specific engagement sits alongside these Terms, as described in Section 6.

These Terms apply to agreements signed on or after the effective date shown at the end of this page. An agreement signed earlier remains governed by the terms in effect when it was signed, and earlier versions are available on request.

Section 02

## Definitions

In these Terms, the following words have the meanings below.

2.1“Perfectionshoots,” “we,” “our,” or “us” means Perfectionshoots, the visual legacy studio that operates the website and provides the Services.

2.2“User,” “you,” or “your” means any person or organization that visits, views or uses the website or any of our Services, including clients and visitors.

2.3“Site” or “Website” means perfectionshoots.com and any other domain, subdomain or platform that Perfectionshoots owns or manages.

2.4“Services” means all photography, cinematic film, event coverage, aerial cinematography, livestream and broadcast production, immersive 360 experiences, editing, gallery hosting, digital delivery, design and related work provided by Perfectionshoots.

2.5“Event” means any session, ceremony, celebration, production or other engagement for which Perfectionshoots is retained.

2.6“Client” means any User who books or purchases Services, personally or on behalf of an organization.

2.7“Collection” means the coverage, deliverables and experience described in your Agreement.

2.8“Investment” means the total price of your Collection, including any additions confirmed in writing.

2.9“Agreement” means these Terms together with the signed service agreement, proposal or invoice for your engagement and the policies referenced in them, including the Privacy Policy in Sections 17 to 19.

2.10“Retainer” means the portion of the Investment paid at signing to reserve your date exclusively, as described in Section 7.

2.11“Balance” means the Investment less the Retainer.

2.12“Content” means all text, images, films, audio, designs and other creative or intellectual property displayed or produced by Perfectionshoots or uploaded by Users.

Section 03

## Updates to These Terms and the Site

### 3.1 Updates

We may update these Terms, the Site or the Services from time to time. Updated Terms take effect when they are posted on this page with a new effective date.

### 3.2 Your Signed Agreement Is Protected

An update never changes an Agreement you have already signed. Your engagement is governed by the Terms in effect on the date you signed, unless we both agree in writing to adopt a later version.

### 3.3 Notice of Changes

When we make a material change, we may also note it by email or on the Site. We encourage you to review this page from time to time.

### 3.4 Availability and Pricing

We may add, change or retire features, Collections, pricing or availability on the Site at any time. A change to published pricing never affects an Investment already confirmed in a signed Agreement.

Section 04

## Website Terms of Use

### 4.1 Ownership of Content

All photographs, films, designs, text, software and other Content on the Site belong to Perfectionshoots or its licensors and are protected by United States and international copyright, trademark and intellectual property laws. You may not copy, reproduce, distribute, display, modify, create derivative works from, sell or otherwise use any of it without our written permission.

### 4.2 Limited License

We grant you a limited, non-exclusive, non-transferable and revocable license to view and use the Site for personal, non-commercial purposes consistent with these Terms. This license does not include resale, redistribution or any commercial use of the Site or its Content.

### 4.3 Prohibited Uses

You agree not to:

(a) Use the Site for any unlawful or fraudulent purpose;

(b) Attempt to gain unauthorized access to any part of the Site, its servers or databases;

(c) Interfere with or disrupt the operation of the Site or Services;

(d) Post, upload or transmit content that is defamatory, obscene, abusive, invasive of privacy or otherwise unlawful;

(e) Use bots, crawlers or similar automated methods to access or copy Site materials; or

(f) Misrepresent your identity or your affiliation with any person or organization.

### 4.4 Linked Sites

The Site may link to third-party websites for your convenience. Perfectionshoots does not control or endorse those sites and is not responsible for their content, policies or practices. Please review the terms and privacy policies of any site you visit.

### 4.5 Trademarks

“Perfectionshoots,” the Perfectionshoots logo and related names and marks are trademarks of Perfectionshoots. Other names and logos on the Site belong to their respective owners. None of these marks may be used without the owner’s written permission.

Section 05

## Your Gallery, Accounts and Security

### 5.1 Accounts

Some features, such as galleries and client portals, may ask you to create an account or use a password. Please keep the information you provide accurate and current.

### 5.2 Gallery Delivery

Your finished work is delivered through a private online gallery hosted by Pic-Time or another professional delivery platform (the “Gallery”). You will receive a private link and, where applicable, a password. Your Gallery remains active for the period stated in your Agreement or delivery notice. After that period, access to view, download, share or order prints may end.

### 5.3 Safeguarding Your Files

Please download and back up your files before your Gallery expires. We keep archives as a courtesy but cannot guarantee them once the Gallery period ends. Where an archive is available, restoring an expired Gallery may carry an archival fee.

### 5.4 Use of Gallery Images

Gallery images are licensed for personal, non-commercial use unless your Agreement grants broader usage. You are welcome to share them on personal social media with credit to Perfectionshoots, as described in Section 16.

### 5.5 Keeping Your Gallery Private

You are responsible for keeping Gallery links and passwords confidential and for activity under your account. If you believe your Gallery has been accessed without permission, write to [ejm@perfectionshoots.com](mailto:ejm@perfectionshoots.com) and we will secure it.

### 5.6 Suspension of Access

We may suspend Gallery access for misuse of the materials, a violation of these Terms or an unpaid amount due, and we will restore access once the matter is resolved.

### 5.7 Data Security

We use industry-standard security to protect hosted files and personal information. No online system is completely secure, and by using the Gallery you accept the ordinary risks of online storage and transmission.

Section 06

## Our Services

### 6.1 What We Deliver

Perfectionshoots crafts photography, cinematic film, aerial cinematography, livestream and broadcast production, immersive 360 experiences and event documentation for weddings, milestone celebrations, military and honors ceremonies, embassy and government events, universities and corporations. The scope of each engagement is defined in your Agreement.

### 6.2 Your Agreement Governs

Each engagement is governed by the written or electronic Agreement issued at booking. If your Agreement and these Terms differ, your Agreement controls for that engagement.

### 6.3 Artistic Direction

You are retaining Perfectionshoots for our eye. We welcome your vision, priorities and must-have moments, and we plan every engagement around them. Final creative decisions, including composition, image selection, editing and color, remain with Perfectionshoots.

### 6.4 Delivery Timelines

Delivery timelines are stated in your Agreement. They are commitments we take seriously, and if anything will affect them, we will tell you early.

### 6.5 Your Team

Depending on your Collection, your Event may be documented by Emmanuel Jeanmarie and members of the Perfectionshoots team. Every storyteller we send works to the same standard, under our direction.

### 6.6 Equipment and Redundancy

We work with professional equipment and redundant backups. In the rare event of equipment failure, file corruption or loss of media, our liability is limited to a refund not exceeding the amount paid for the affected Service.

### 6.7 Travel

Travel within Colorado is included in every Collection. For destination and international engagements, travel and lodging are included in your proposal and confirmed in your Agreement before you sign. Nothing is added afterward without your written approval.

Section 07

## Reserving Your Date and Payment

Your date is reserved for you alone. Once it is, we decline every other inquiry for that date.

### 7.1 Reserving Your Date

Your date is reserved once your Agreement is signed and your Retainer is received. We do not hold dates on a verbal commitment or an unsigned Agreement.

### 7.2 The Retainer

The Retainer is fifty percent (50%) of your Investment unless your Agreement states otherwise. It reserves your date exclusively and covers the planning, preparation and other engagements we decline on your behalf. For that reason, the Retainer is non-refundable, except where Perfectionshoots cancels under Section 9.6. It may be carried to a new date as described in Sections 10 and 21.

### 7.3 Payment Schedule

Unless your Agreement states otherwise:

(a) Weddings booked sixty (60) days or more before the date: the Retainer is due at signing, and the Balance may be paid in monthly installments set out in your Agreement, with the final installment due thirty (30) days before the wedding.

(b) Weddings booked within sixty (60) days of the date, and Mini Wedding collections, are paid in full at signing. Fifty percent (50%) of that payment is the Retainer.

(c) For other Events, an Investment under $1,500, or any booking made within thirty (30) days of the Event, is paid in full at signing. Fifty percent (50%) of that payment is the Retainer.

(d) For other Events with an Investment of $1,500 or more booked thirty (30) days or more before the Event, the Retainer is due at signing and the Balance is due seven (7) days before the Event.

(e) For destination and multi-day engagements, including destination weddings, fifty percent (50%) is due at signing, twenty-five percent (25%) sixty (60) days before the Event, and the final twenty-five percent (25%) fourteen (14) days before the Event.

### 7.4 Settled Before Your Event

Your Balance is always settled before your Event, never after delivery. If the Balance has not been received by the Event date, Perfectionshoots is not obligated to perform, and the booking may be treated as a cancellation by the Client under Section 9.

### 7.5 Accepted Payment Methods

We accept credit and debit cards, ACH transfers and other methods shown on your invoice. Payments are processed securely by third-party providers such as Stripe, whose terms also apply to the transaction.

### 7.6 Payment Authorization

By providing payment details, you authorize Perfectionshoots and its payment processor to charge the payment method you designate for the Retainer, the Balance or its installments, applicable taxes and any other amount due under your Agreement.

### 7.7 Taxes

Applicable local, state and federal taxes are added to the Investment and are the Client’s responsibility unless proof of tax exemption is provided.

Section 08

## Late Payments

### 8.1 Reminders and Grace Period

We send a courtesy reminder before each payment date. If a payment is not received within seven (7) calendar days after its due date, the amount is considered overdue.

### 8.2 Late Fee

An overdue amount carries a one-time late fee of five percent (5%) of the amount overdue, or the maximum permitted by law if that is lower.

### 8.3 Delivery Once Settled

Galleries, films and other deliverables are released once every amount due has been paid.

### 8.4 Collection Costs

If an overdue amount must be referred for collection, the Client is responsible for the reasonable costs of collection, including reasonable attorney’s fees, to the extent permitted by law.

### 8.5 No Waiver

If Perfectionshoots does not enforce a provision of this section on one occasion, that does not waive the right to enforce it later.

Section 09

## Cancellation and Refunds

Plans sometimes change. When they do, we would always rather move your date than lose your story, so please read Section 10 before deciding to cancel. If cancellation is the right decision, the schedule below applies, based on the date we receive your written notice.

### 9.1 How to Cancel

Cancellation must be sent in writing to [ejm@perfectionshoots.com](mailto:ejm@perfectionshoots.com). The date we receive it determines which part of this schedule applies.

### 9.2 Ninety Days or More Before the Event

We keep the Retainer and refund every payment made beyond it.

### 9.3 Thirty to Eighty-Nine Days Before the Event

We keep the Retainer and fifty percent (50%) of the Balance. Any amount paid beyond that is refunded, and any part of that amount not yet paid becomes due.

### 9.4 Fewer Than Thirty Days Before the Event

The full Investment is due. At this point the date can no longer reasonably be offered to anyone else, and preparation for your Event is complete or well underway.

### 9.5 Changes in Scope

Additions are welcome at any time, subject to availability. Reducing your coverage is treated as a partial cancellation of the portion removed, under the same schedule.

### 9.6 If Perfectionshoots Cancels

If Perfectionshoots must cancel your Event, every payment you have made is refunded in full. If illness or emergency prevents Emmanuel Jeanmarie from attending, a senior member of the Perfectionshoots team will document your Event to the same standard. If we cannot provide one, every payment is refunded in full and we will help you find a studio we trust. A full refund is the Client’s sole remedy in either case.

### 9.7 Refunds

Refunds are issued to the original payment method within fifteen (15) business days of our written confirmation. Processing fees charged by third-party payment providers are not refundable.

### 9.8 Force Majeure

Events that cannot proceed for reasons beyond either party’s control are handled under Section 21.

Section 10

## Postponement and Rescheduling

Postponing is always our first recommendation. Your Retainer and payments can travel with you to a new date.

### 10.1 Your First Postponement

If you request a new date in writing at least thirty (30) days before your Event, and the new date falls within twelve (12) months of the original, everything you have paid transfers to the new date, subject to our availability. There is no fee for your first postponement.

### 10.2 Requests Within Thirty Days

A request made fewer than thirty (30) days before the Event is still welcome, and we will do our best to accommodate it. If we cannot, the request is treated as a cancellation under Section 9.

### 10.3 Your Investment on the New Date

Your Investment is honored for a new date within twelve (12) months. A date beyond twelve months or a change in scope may be priced at the rates in effect for the new date.

### 10.4 One Postponement Per Booking

Each booking includes one postponement. A further change of date is treated as a new booking at the rates then in effect, with payments already made credited toward it where we can accommodate the new date.

### 10.5 If We Are Unavailable

If we are not available on the date you propose, we will offer alternatives. If none suits you, the request is treated as a cancellation under Section 9, as of the date of your original request.

### 10.6 Transferability

Payments and postponements belong to your booking and cannot be transferred to another person or an unrelated Event without our written consent.

### 10.7 Confirming Your New Date

Please confirm your new date within fourteen (14) days of our offer. If we have not heard from you by then, we may release the date and handle the booking under Section 9.

Section 11

## Payment Concerns and Chargebacks

If anything about a charge concerns you, come to us first. We will make it right quickly.

### 11.1 Talk to Us First

If you have a question or concern about any charge, write to [ejm@perfectionshoots.com](mailto:ejm@perfectionshoots.com). We will respond within two (2) business days and work with you in good faith to resolve it.

### 11.2 Before Filing a Dispute

You agree to give us ten (10) business days to resolve a billing concern before filing a chargeback or payment dispute with your bank or card issuer. Nothing in these Terms limits any right you have under law or under your card issuer’s rules.

### 11.3 Disputes Without Basis

If a chargeback is filed for Services delivered as agreed, we will respond with your signed Agreement and delivery records. If the dispute is resolved in our favor or found to be without basis, the Client is responsible for the reversed amount and any processor fees the dispute caused.

### 11.4 Other Disagreements

Any other disagreement about payments, Services or performance is resolved as described in Section 24.

### 11.5 Acknowledgment

By making a payment, you confirm that you have read and agree to the payment, cancellation and postponement terms in Sections 7 to 10.

Section 12

## Client Responsibilities

### 12.1 Accurate Information

Please provide complete and accurate details for your Event, including schedules, locations, contacts and key people. We are not responsible for delays or errors caused by incorrect or incomplete information.

### 12.2 Timing and Cooperation

Our coverage follows the schedule in your Agreement. Delays outside our control, such as a late start or a missed session, may reduce the time available and cannot always be recovered. Additional coverage can be arranged on site, subject to availability.

### 12.3 Conduct

We treat every guest with respect and ask the same for our team. Harassment, abuse or damage to our equipment will end coverage immediately without refund, and the Client is responsible for any damage caused.

### 12.4 Venues and Permits

The Client is responsible for venue access, permits and any photography or filming permissions the location requires. If coverage is prevented because a required permission was not secured, the Service is treated as performed.

### 12.5 Aerial Cinematography

Drone coverage is flown in accordance with FAA rules, local restrictions and venue policy. If airspace restrictions, weather or safety prevent flight, aerial coverage is replaced with ground coverage, and this is not a breach of your Agreement.

### 12.6 Consent of Those Photographed

The Client is responsible for informing guests and participants that the Event will be photographed and filmed, and for obtaining any consent the Event requires. Participation in a session or Event grants Perfectionshoots permission to capture those present as part of the contracted work.

### 12.7 Downloading Your Files

Once your Gallery is delivered, please download and back up your files before it expires, as described in Section 5.

### 12.8 Communication in Writing

Changes to your Agreement, schedule or payments should be confirmed in writing to [ejm@perfectionshoots.com](mailto:ejm@perfectionshoots.com). A conversation or text message does not change the written Agreement unless we confirm it in writing.

Section 13

## Intellectual Property and Usage

### 13.1 Copyright

All photographs, films, graphics and other creative works produced by Perfectionshoots belong to Perfectionshoots and are protected by U.S. and international copyright law. Ownership is not transferred unless a separate written agreement says so.

### 13.2 Your License

Once your Investment is paid in full, Perfectionshoots grants you a non-exclusive, non-transferable license to use your final images and films for personal use. Corporate, institutional and commercial clients receive the usage rights stated in their Agreement, such as internal and marketing use. Any other commercial, promotional or editorial use requires our written permission.

### 13.3 Restrictions

Please do not sell our work, alter it in a way that changes its artistic intent, remove credits or watermarks, or submit it to contests, publications or third-party vendors without our written consent. Printing for your own personal use is always welcome.

### 13.4 Raw Files and Unedited Footage

Raw files, unedited footage and project files remain the property of Perfectionshoots and are not delivered unless your Agreement includes them.

### 13.5 Portfolio Use

How we may feature work from your Event, and how to keep it private, is described in Section 14.

### 13.6 Credit

When you share our work publicly, please credit “Perfectionshoots.”

Section 14

## Portfolio Display and Marketing Use

### 14.1 Featuring Your Story

Perfectionshoots may feature work from your Event in our portfolio, on our website and social media, in publications and in our marketing, unless you opt out in writing before your Event.

### 14.2 Keeping Your Event Private

To keep your Event private, write to [ejm@perfectionshoots.com](mailto:ejm@perfectionshoots.com) before your Event date. We will confirm and honor the request. Work published before we receive a request may remain in circulation, and we will remove it from our own channels where reasonable.

### 14.3 Private by Default

Boudoir and other private portrait sessions are never published without your separate written consent. Where an embassy, government or institutional host sets protocol on publication, we follow that protocol.

### 14.4 Publications and Competitions

We may submit work to competitions, exhibitions or professional publications. Submissions may include your name and the type of Event but never your personal contact information without permission.

### 14.5 Social Media

We may tag or name you or your Event when sharing work, unless you ask us not to.

### 14.6 Changing Your Mind

If you later wish to withdraw permission, write to us and we will make reasonable efforts to remove the work from our active channels. This cannot extend to work already in print or on third-party media beyond our control.

## Third-Party Services and Integrations

### 15.1 Platforms We Use

Perfectionshoots uses trusted third-party services, including Pic-Time, HubSpot, Stripe, Dialzara, Zapier, Twilio, Synthflow and other software providers, to host galleries, process payments, answer calls, send communications and deliver your work. Some personal information and Content may be processed by these providers under their own privacy policies.

### 15.2 Responsibility for Third-Party Services

Perfectionshoots is not responsible for the performance, availability, data practices or terms of any third-party platform. Claims arising from a third-party service should be directed to that provider.

### 15.3 Linked Websites

Links to other websites are provided for convenience only. Perfectionshoots does not control or endorse them and is not responsible for their content, practices or policies.

### 15.4 Payment Processing

Payments are processed by third-party providers under their own terms and security procedures. Perfectionshoots does not store card or bank account details on its own systems.

### 15.5 Social Media Platforms

Sharing to platforms such as Instagram, Facebook, X, TikTok, LinkedIn or YouTube is governed by each platform’s own terms and privacy rules.

## Reviews, Social Media and Feedback

### 16.1 Your Honest Feedback

We invite every client to share an honest review of their experience, positive or critical. Nothing in these Terms limits your right to share an honest opinion about our Services.

### 16.2 Sharing Your Review

With your permission, we may quote your review or testimonial on our website and in our marketing, with your name as you provide it.

### 16.3 Sharing Your Images

You are welcome to share images and films from your Gallery on personal social media, provided that:

(a) Credit is included as “Photo by Perfectionshoots” or “Film by Perfectionshoots”;

(b) The work is not altered or filtered in a way that misrepresents the original; and

(c) The use is personal and non-commercial, unless your Agreement grants broader usage.

### 16.4 Removal Requests

If you would like an image or post of yours removed from our social media or marketing, write to [ejm@perfectionshoots.com](mailto:ejm@perfectionshoots.com). We will remove or archive it from our own channels and make reasonable efforts elsewhere, though we cannot control content already reposted by others.

### 16.5 Confidential Events

If your Event is private or sensitive, tell us in writing before the Event and we will agree on sharing limits together.

Section 17

## Privacy and Data Collection

### 17.1 Our Commitment

We respect your privacy. Information you share through the Site, our forms, our phone line or a booking is used only to operate our business, communicate with you and deliver your Services. We never sell, rent or trade your personal information.

### 17.2 Information We Collect

We may collect:

(a) Contact details such as your name, address, phone number and email address;

(b) Event details needed to plan and deliver your booking;

(c) Payment and transaction information, processed by third-party payment providers;

(d) Records of calls and messages, including transcripts of calls answered by our AI assistant, so we can follow up accurately; and

(e) Technical data such as device type, browser, IP address and usage analytics collected when you visit the Site.

### 17.3 How We Use It

We use this information to:

(a) Communicate with you about inquiries, bookings, updates and deliverables;

(b) Process payments and provide receipts;

(c) Improve our Services and your experience; and

(d) Meet legal obligations and prevent fraud.

### 17.4 Storage and Retention

Personal information is stored securely for as long as needed to deliver the Services and meet recordkeeping obligations. Gallery images are hosted on platforms such as Pic-Time under their own retention policies, so please download your final work promptly.

### 17.5 Access, Correction and Deletion

You may ask to review, correct or delete the personal information we hold by writing to [ejm@perfectionshoots.com](mailto:ejm@perfectionshoots.com). We will respond within a reasonable time and in line with applicable law.

### 17.6 Communications and Text Messages

By sharing your contact details, you agree to receive messages about your inquiry or booking and occasional updates from Perfectionshoots. You may unsubscribe from marketing email at any time using the link in each message. If you opt in to text messages, message and data rates may apply, and you may reply STOP at any time to opt out. Mobile numbers and text messaging consent are never shared with third parties for their marketing purposes.

### 17.7 Third-Party Privacy

Perfectionshoots is not responsible for the privacy practices of third-party websites, platforms or providers linked through the Site or Services.

### 17.8 Data Protection

We use commercially reasonable security measures to protect personal information. No system can guarantee absolute security, and by using the Site or Services you accept the ordinary risks of electronic transmission.

### 18.4 Log Data and Analytics

The Site automatically records certain information, such as IP address, browser type, device information and access times. We use it for analytics and operations only, and do not link it to you personally except where needed for security or fraud prevention.

### 18.5 Third-Party Tracking

Analytics and social media providers may place their own cookies on the Site. We do not control these cookies and recommend reviewing those providers’ privacy policies.

### 18.6 Consent

By continuing to use the Site, you consent to the use of cookies as described here. You may withdraw consent at any time by adjusting your browser settings.

## Employment Applicant Data

### 19.1 Information We Collect

When you apply to work or collaborate with Perfectionshoots, we may collect your name, contact details, work history, education, references, portfolio and other materials relevant to your application.

### 19.2 How We Use It

Applicant information is used only for recruitment, including:

(a) Evaluating qualifications and fit for employment or contract work;

(b) Conducting interviews and reference checks;

(c) Keeping records of candidates for future opportunities; and

(d) Meeting legal or reporting obligations related to employment.

### 19.3 Disclosure

Applicant information is shared only with the people involved in recruitment and, where applicable, background check or verification services. It is never sold or used for marketing.

### 19.4 Retention and Deletion

We may keep applicant information for a reasonable period to consider you for future roles or as required by law. You may ask us to delete it by writing to [ejm@perfectionshoots.com](mailto:ejm@perfectionshoots.com).

### 19.5 Equal Opportunity

Section 21

## Force Majeure

### 21.1 Definition

Neither party is liable for a failure or delay, other than a payment already due, caused by circumstances beyond its reasonable control (a “Force Majeure Event”), including acts of God, natural disasters, severe weather, pandemics, government restrictions, strikes, power failures, transportation interruptions, civil unrest, acts of terrorism, or the serious illness, injury or death of key personnel.

### 21.2 Notice

The affected party will notify the other as soon as reasonably practicable, and the affected obligations are suspended while the Force Majeure Event continues.

### 21.3 Postponement First

If your Event cannot proceed because of a Force Majeure Event, everything you have paid transfers to a new date within twelve (12) months, subject to availability, with no postponement fee.

### 21.4 If No New Date Works

If no new date within twelve (12) months works for you, we keep the Retainer and refund every payment made beyond it.

### 21.5 If Our Team Is Affected

If a Force Majeure Event prevents Emmanuel Jeanmarie from attending, Section 9.6 applies.

### 21.6 Exclusive Remedy

Postponement or a refund under this section is the Client’s exclusive remedy. Neither party is responsible for indirect or consequential losses caused by a Force Majeure Event.

Section 22

## Limitation of Liability

### 22.1 General Limitation

To the fullest extent permitted by law, Perfectionshoots and its owners, team members, agents and affiliates are not liable for indirect, incidental, consequential, special, exemplary or punitive damages, including lost profits, data loss, emotional distress or business interruption, arising from the Site or Services, even if advised of the possibility of such damages.

### 22.2 Maximum Liability

Perfectionshoots’ total liability for any claim will not exceed the amount the Client actually paid for the specific Service giving rise to the claim, whatever the legal theory.

### 22.3 Warranties

Except as expressly stated in your Agreement, the Site and Services are provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose, title or non-infringement.

### 22.4 Event Conditions

Perfectionshoots is not responsible for injuries, accidents or property damage arising from the location, Event conditions or the conduct of guests, except to the extent caused by our own negligence.

### 22.5 Time to Bring a Claim

Any claim arising from the Services must be brought within one (1) year after it arises, or it is permanently barred.

### 22.6 Third-Party Providers

Perfectionshoots is not liable for the acts, omissions or errors of third-party providers, including payment processors, gallery hosts, social media platforms and print vendors.

Section 23

## Indemnification

### 23.1 Client Indemnification

The Client agrees to indemnify, defend and hold harmless Perfectionshoots and its owners, team members, contractors, agents, affiliates, successors and assigns from any claims, losses, liabilities, damages, costs and expenses, including reasonable attorney’s fees, arising from:

(a) The Client’s breach of these Terms or any Agreement;

(b) The Client’s misuse of the Site, Services or delivered work;

(c) The Client’s violation of any law or the rights of any third party; or

(d) Any material, image or information the Client provides to Perfectionshoots for use in the Services.

### 23.2 Third-Party Claims

If a third party brings a claim against Perfectionshoots because of the Client’s actions, materials or conduct, the Client will cover the resulting costs, damages and expenses, including reasonable attorney’s fees.

### 23.3 Notice and Cooperation

Perfectionshoots will give prompt written notice of any claim for which indemnification is sought. The Client will cooperate in the defense and will not settle any such matter without Perfectionshoots’ written consent.

### 23.4 Survival

This section survives the completion or termination of the Services and these Terms.

Section 24

## Dispute Resolution and Arbitration

### 24.1 Good Faith Resolution

Most concerns are resolved with a conversation. Before any formal step, both parties agree to try to resolve a dispute through good-faith discussion, beginning with written notice to the other party.

### 24.2 Binding Arbitration

If a dispute is not resolved within thirty (30) days, it will be settled by binding arbitration under the rules of the American Arbitration Association or another body both parties agree on. Arbitration will take place in Pueblo County, Colorado, unless both parties agree otherwise in writing.

### 24.3 Arbitration Rules

Arbitration will be conducted by a single neutral arbitrator. Each party bears its own costs and legal fees except as the law provides otherwise. The arbitrator may award damages consistent with the limitations in these Terms but may not award punitive damages or injunctive relief.

### 24.4 Individual Claims

Any arbitration will be conducted on an individual basis and not as a class, collective or representative action, and the Client waives any right to participate in one against Perfectionshoots.

### 24.5 Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-law principles.

### 24.6 Venue

Any action to enforce an arbitration award or for judicial review will be brought exclusively in the District Court of Pueblo County, Colorado, or the United States District Court for the District of Colorado, and both parties consent to jurisdiction there.

### 24.7 Survival

This section survives the completion or termination of the Services and these Terms.

Section 25

## Miscellaneous Provisions

### 25.1 Entire Agreement

These Terms and your Agreement are the entire agreement between the Client and Perfectionshoots on their subject and replace any earlier understandings, written or oral.

### 25.2 Severability

If any provision is found invalid or unenforceable, the rest remain in full effect, and that provision is modified only as much as needed to make it enforceable while preserving its intent.

### 25.3 No Waiver

A failure to enforce any provision is not a waiver of it. Any waiver must be in writing and signed by an authorized representative of Perfectionshoots.

### 25.4 Assignment

The Client may not assign or transfer rights or obligations under these Terms without Perfectionshoots’ written consent. Perfectionshoots may assign its rights and obligations with notice to the Client.

### 25.5 Independent Contractor

Perfectionshoots works as an independent contractor. Nothing in these Terms creates a partnership, joint venture or employment relationship.

### 25.6 Notices

Notices under these Terms are given in writing by email to [ejm@perfectionshoots.com](mailto:ejm@perfectionshoots.com) or to the email address in your Agreement, and are effective when delivery is confirmed.

### 25.7 Headings

Headings are for convenience only and do not affect interpretation.

### 25.8 Survival

Provisions that by their nature should survive, including payment obligations, intellectual property, limitation of liability, indemnification and dispute resolution, survive the completion or termination of the Services.

### 25.9 Updates

The current version of these Terms is always posted on this page with its effective date. As described in Section 3, an update never changes an Agreement you have already signed.
